Version 1.1 (closed beta) · Effective date: 13 October 2026
Key points
- URA is a business tool. You must be 18 or older and using it for your business or organization.
- URA is in a closed, invite-only beta. It is free during the beta, it may change or stop, and credits have no cash value and expire monthly.
- URA's reports are AI-generated simulations. They are not real customer data, they may be wrong, and they are not professional advice. Use your own judgment before acting on them.
- Only submit or capture pages you have the right to analyze. Do not upload sensitive personal data.
- You own your content and your reports. We use your content only to provide the Service, as described in these Terms and our Privacy Policy. We do not use your content or reports to train AI models.
- If you connect an AI assistant (such as ChatGPT or Claude) to URA, it acts on your instructions, and you can revoke its access at any time.
- The Service is provided "as is". Our liability is limited, except where the law does not allow it.
- Israeli law applies, and the courts of Tel Aviv-Jaffa have exclusive jurisdiction.
1. Who we are and what these Terms cover
1.1. The operator. URA is currently operated by Tomer Pascal, an individual resident in Israel ("URA", "we", "us"). No company has been incorporated yet. We intend to transfer the service to an Israeli company once it is incorporated. When that happens, that company will take over as operator, "URA", "we" and "us" will mean that company, and we will notify you at least 14 days in advance. You agree that we may transfer these Terms to that company (see Section 26.4).
1.2. These Terms govern your access to and use of URA, including the website at uralabs.app, the web application at app.uralabs.app, the URA Chrome extension, the URA API, the URA MCP server, and related features, documentation and support (together, the "Service").
1.3. By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1.4. Our Privacy Policy explains how we handle personal data. It forms part of these Terms.
2. Definitions
- "Customer" or "you" means the organization on whose behalf you use the Service, and you as the individual user acting for it. If you use the Service without an organization, "you" means you personally, acting in a business capacity.
- "Customer Content" means anything you or your users submit to the Service, including page URLs, brand and competitor names and URLs, questionnaire answers, uploaded files and screenshots, Chrome extension captures, follow-up questions, and instructions sent through the API or an AI assistant.
- "Outputs" means what the Service generates for you, including synthetic audiences and personas, simulated reactions and quotes, scores, objections, recommendations, competitor comparisons, mockup images and reports.
- "Credits" means units allocated to your account that allow you to run analyses and other features.
- "Connected Client" means any third-party application, including AI assistants such as ChatGPT, Claude or other MCP clients, that you authorize to access the Service on your behalf through an API key or OAuth.
3. What URA does
3.1. URA lets you submit a web page and test it on a "synthetic audience". We record the page in a browser (for public pages, on our servers; for other pages, through the Chrome extension in your own browser), generate AI personas that represent likely customers, have AI agents react to the page, and produce a report. You can also ask the simulated audience follow-up questions, compare a page with competitors, and generate a suggested improved page.
3.2. We use third-party service providers, including AI model providers, to run the Service. Our Privacy Policy lists them.
4. Eligibility
4.1. The Service is for business and professional use only. It is not intended for personal, household or consumer use, and it is not directed to children.
4.2. You must be at least 18 years old to use the Service.
4.3. If you use the Service on behalf of an organization, you confirm that you are authorized to bind that organization to these Terms, and the organization is responsible for your use and the use of anyone it allows to access its account.
4.4. You may not use the Service if you are barred from doing so under applicable law, including the sanctions and export laws described in Section 22.
5. Beta, Credits and closed test
5.1. The Service is currently in a closed, invite-only beta ("Beta"). Access is by invitation only. Joining the waitlist does not guarantee access.
5.2. During the Beta, the Service is provided free of charge. If we later introduce paid plans, we will tell you in advance, and paid use will be subject to the prices and any additional terms we present at that time. You will not be charged unless you actively agree to a paid plan.
5.3. Because the Service is in Beta, it may contain bugs, may be unavailable from time to time, and may change significantly. We may change, suspend, limit or discontinue all or part of the Service, or end the Beta, at any time. Where reasonably possible, we will give you advance notice of a discontinuation of the Service as a whole and a reasonable opportunity to export your data (see Section 19).
5.4. Credits. Your account receives a monthly allowance of Credits, which we set at our discretion. Each action shows its cost in Credits before you start it. Unused Credits expire at the end of each monthly cycle (on the 1st of each month, UTC) and do not carry over. Credits for an action that fails are refunded automatically. Credits have no cash value, cannot be redeemed for money, and cannot be sold or transferred to another account or person. We may change allowances and prices, and we may correct Credits granted or used in error.
5.5. Usage limits. To control costs during the Beta, we may pause new actions for all accounts when overall usage reaches a monthly limit, until the next cycle. We will show a message when this happens.
5.6. We do not commit to any service levels, uptime or support response times during the Beta.
6. Accounts and security
6.1. Accounts are created by invitation. You must give us accurate information and keep it up to date.
6.2. You are responsible for keeping your login credentials confidential and for all activity under your account, except to the extent caused by our breach of these Terms or our security failure.
6.3. Each account is for one named individual. Do not share login credentials. If your organization needs more users, contact us.
6.4. Tell us promptly at support@uralabs.app if you believe your account, password, API key or a Connected Client has been compromised.
7. API keys and Connected Clients (including AI assistants)
7.1. API keys. We may issue you API keys. Keep them secret. Do not embed them in public code or share them outside your organization. Anyone holding your API key can act as you, and you are responsible for actions taken with it. You can revoke your keys at any time in Settings → API Keys.
7.2. Connecting AI assistants. You may authorize a Connected Client, such as ChatGPT, Claude or another MCP client, to access the Service on your behalf through our MCP server and OAuth consent screen. When you do:
- (a) the Connected Client acts on your instructions, and its actions through your authorization are treated as your actions under these Terms (including for Credits used);
- (b) you are responsible for what you authorize, for the instructions you give the Connected Client, and for how you use what it returns;
- (c) the Connected Client receives the data you ask it to retrieve, such as report data. Once data reaches the Connected Client, it is handled by that provider under its own terms and privacy policy, not ours. We are not responsible for the third-party provider's acts, omissions, availability or security; and
- (d) your use of the Connected Client is subject to that provider's terms, which you must comply with.
7.3. Revocation. You may revoke a Connected Client's access at any time by disconnecting URA in the Connected Client's settings, or by emailing support@uralabs.app. Revocation stops future access through URA. It does not delete data the Connected Client has already received. We may revoke or suspend any API key or Connected Client authorization if we reasonably believe it is compromised or being misused.
7.4. We may set limits on API and MCP usage, including rate limits and quotas, and may change them.
8. Chrome extension
8.1. The URA Chrome extension lets you capture a page open in your own browser tab, including pages behind a login, staging sites, design tools or localhost. A capture may include a video recording of the tab, screenshots, page text, page structure (DOM) and links. The extension captures only when you start a capture, and only the tab you choose.
8.2. You choose what to capture. The extension captures whatever is visible or loaded in the tab you choose, which may include confidential information or other people's personal data. Before you capture, make sure you have the right to capture and upload that page and its contents, and close or hide anything you do not want included.
8.3. The extension is subject to these Terms. If you install it from the Chrome Web Store, Google's terms also apply. Keep it updated; older versions may stop working.
9. Acceptable use
9.1. You must use the Service lawfully and in line with these Terms. In particular, you must not, and must not allow anyone else to:
- (a) submit, capture or analyze any page or content unless you own it or otherwise have the right to have it analyzed (for example, a public page, or a page you are authorized to access and share). Competitor analysis is permitted only for publicly available pages;
- (b) use the Service to circumvent paywalls, logins, access controls, CAPTCHAs, bot protection or other technical measures of any third-party website, or to access content you are not authorized to access;
- (c) use the Service for scraping abuse, including bulk or automated harvesting of third-party websites, or in a way that overloads, attacks or breaches the terms of any third-party website;
- (d) upload, submit or capture sensitive personal data, including special categories of data (such as health, genetic or biometric data, racial or ethnic origin, political opinions, religious or philosophical beliefs, trade-union membership, sex life or sexual orientation), data about criminal offences, government ID numbers, financial account or payment card numbers, passwords, or personal data of children. Avoid submitting any third-party personal data that is not needed for the analysis;
- (e) submit or generate content that is illegal, infringing, defamatory, harassing, hateful, sexually exploitative, deceptive or otherwise harmful, or use the Service to promote fraud, scams or malware;
- (f) use Outputs to deceive anyone, including by presenting simulated persona quotes or results as real customer testimonials, reviews or research data;
- (g) reverse engineer, decompile, disassemble or try to extract the source code, models, prompts or underlying methods of the Service, except to the extent applicable law expressly allows this despite this restriction;
- (h) use the Service, or any Output, to build, train or benchmark a competing product or service, or to copy the Service's features or design;
- (i) probe, scan or test the vulnerability of the Service, or breach its security or authentication measures, without our prior written consent;
- (j) exceed or circumvent rate limits, quotas or Credit limits, create multiple accounts to obtain more Credits, or access the Service by automated means other than our API or MCP server;
- (k) resell, sublicense, or provide the Service to third parties as a service bureau, unless we agree in writing; or
- (l) use the Service in breach of applicable law, including privacy, consumer protection, intellectual property, export control and sanctions laws.
9.2. We may investigate suspected breaches and may remove content or limit access as described in Section 18.
10. Your content
10.1. You own your Customer Content. As between you and us, you keep all rights in your Customer Content.
10.2. License to us. You grant us a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, display and modify (for example, by formatting or summarizing) your Customer Content, and to share it with our service providers, only as needed to provide, maintain, secure and support the Service for you, to comply with law, and to enforce these Terms. This license ends when the Customer Content is deleted from the Service, except for copies held in routine backups until they expire, and copies we must keep by law.
10.3. Improving the Service. We may use aggregated or de-identified usage data and metrics (which do not identify you or your Customer Content) to operate, analyze and improve the Service. During the Beta, the URA team may also review analyses and reports to give support, investigate errors and improve the quality of results, under the confidentiality commitment in Section 17. We do not use your Customer Content or Outputs to train AI models, and we do not share them with third parties for their own purposes.
10.4. Your responsibilities. You are responsible for your Customer Content. You confirm that you have all rights, permissions and (where required) notices or consents needed to submit it to the Service and to let us process it under these Terms, and that it does not breach Section 9.
10.5. Sharing reports. You can share a report as a link, either with people you invite by email or with anyone who has the link. You decide who to share with and you are responsible for that choice, including that you are allowed to share the report's content with them. People you share with can view the report read-only; they cannot use your Credits or change your data. Anyone who has an open link can pass it on, so turn on "Anyone with the link can view" only for reports you are comfortable being seen widely. You can turn sharing off at any time, and the link then stops working. When you share a report, our confidentiality commitment in Section 17 does not apply to what you chose to share. Shared reports carry a small "Made with URA" note and a link to URA.
10.6. Third-party personal data. If your Customer Content includes other people's personal data, you are responsible for having a lawful basis to submit it. We process such data on your behalf to provide the Service, as described in our Privacy Policy. If you need a data processing agreement (DPA), email support@uralabs.app and we will provide one.
11. Outputs
11.1. You own your Outputs. Subject to these Terms and to our rights in the Service described in Section 14, we assign to you whatever rights we have in the Outputs generated for you, and you may use them for any lawful business purpose.
11.2. Our underlying IP stays ours. The Service's templates, report formats, scoring methods, persona frameworks, prompts, software and other underlying materials remain our property, even when they appear in or shape an Output. You may use those elements only as part of your Outputs.
11.3. Similar outputs. Because of how AI works, Outputs may be similar or identical to outputs generated for other users. Your rights in your Outputs do not extend to similar outputs generated for others.
11.4. No guarantee of rights. AI-generated material may not be protected by copyright in every country, and we do not guarantee that Outputs (including mockup images) are free from third-party rights. Review Outputs before publishing or relying on them.
12. AI-generated outputs: important disclaimer
12.1. Outputs are simulations. URA's synthetic audiences, personas, reactions, quotes, scores and predictions are generated by AI models. They are simulations and estimates. They are not real customer data, real people's opinions, or the results of research with real people.
12.2. Outputs may be wrong. Outputs may be inaccurate, incomplete, biased, inconsistent between runs, or out of date. A page may also be recorded incorrectly. We do not guarantee any result, including any conversion rate, revenue or business outcome.
12.3. Not professional advice. Outputs are not legal, financial, investment, accounting, marketing-compliance or other professional advice.
12.4. Use your judgment. You are responsible for evaluating Outputs, verifying them where it matters, and deciding whether and how to act on them. Do not use Outputs as the sole basis for decisions that could significantly affect you, your business or other people.
13. Feedback
13.1. We welcome feedback, ideas and suggestions about the Service ("Feedback"). You are not required to give Feedback.
13.2. If you give Feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose, without obligation to you. We will not identify you publicly as the source of Feedback without your consent. Feedback does not include your Customer Content.
14. Our intellectual property
14.1. We and our licensors own all rights in the Service, including software, prompts, designs, documentation, trademarks (including the name and logo "URA") and all improvements to them. These Terms do not transfer any of those rights to you.
14.2. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service while you have access to it, for your internal business purposes.
14.3. Any rights not expressly granted in these Terms are reserved.
15. Third-party sites and services
15.1. The Service interacts with third-party websites (including pages you analyze) and third-party services such as Connected Clients, AI model providers, browsers and the Chrome Web Store.
15.2. We do not control third-party sites or services and are not responsible for their content, availability, accuracy, security or practices. Your use of them is subject to their own terms. Including a third-party site in an analysis does not mean we endorse it.
16. Privacy and security
16.1. Our Privacy Policy explains how we collect and use personal data.
16.2. We use reasonable technical and organizational measures to protect the Service and your data, appropriate to a beta service of our size. No system is perfectly secure, and we cannot guarantee absolute security.
16.3. Data is processed and stored by our service providers outside Israel, mainly in Singapore and the United States, as described in the Privacy Policy.
17. Confidentiality
17.1. We will treat your non-public Customer Content and Outputs as confidential. We will use them only to provide the Service and as described in these Terms and the Privacy Policy, and will disclose them only to our service providers and advisors who need them for that purpose and are bound by confidentiality obligations, or where required by law (in which case, where legally allowed, we will try to notify you first).
17.2. During the Beta, you may learn non-public information about the Service, such as unreleased features, performance and pricing plans. You will keep that information confidential and not disclose it publicly without our consent, except where it is already public through no fault of yours. You may share your general experience with the Service.
18. Suspension and termination
18.1. By you. You may stop using the Service and ask us to close your account at any time by emailing support@uralabs.app.
18.2. Suspension by us. We may suspend or limit your access (in whole or part, including specific API keys or Connected Clients) if we reasonably believe that: (a) you have materially breached these Terms, including Section 9; (b) your use creates a security risk, may harm the Service, other users or third parties, or may expose us to legal liability; or (c) we are required to do so by law or by a service provider on which the Service depends. Where reasonable and lawful, we will tell you the reason and give you a chance to fix the issue first. We will lift a suspension once the reason no longer applies.
18.3. Termination by us. We may terminate your access: (a) if you materially breach these Terms and do not cure the breach within 14 days after notice (or immediately, if the breach cannot be cured or involves serious misuse, illegal activity or a security threat); (b) at the end of the Beta, or if we discontinue the Service; or (c) for any other reason, on at least 30 days' notice.
18.4. Effect. On termination, your right to use the Service ends, and any unused Credits are cancelled without compensation. Sections that by their nature should survive (including Sections 10.4, 11, 12, 13, 14, 17, 19, 20, 21, 22, 23, 24 and 25) survive termination.
19. Data export and deletion
19.1. While your account is active, you can export report data (for example, as CSV), print or save reports as PDF, and delete individual analyses and reports in the app.
19.2. When your account is closed or terminated (other than for serious misuse, illegal activity, or where law prevents it), you have 30 days to ask us for an export of your Outputs.
19.3. We then delete or de-identify your Customer Content and Outputs, so that they are gone within 90 days of closure, except: (a) copies in routine backups, which are overwritten within a further 30 days; (b) data we must keep by law or to establish, exercise or defend legal claims; and (c) aggregated or de-identified data under Section 10.3. If you ask us to delete your data and do not need an export, we will delete it within 30 days of verifying your request. Our Privacy Policy (section 13) describes retention in more detail.
20. Warranty disclaimer
20.1. We will provide the Service with reasonable skill and care, consistent with a beta service.
20.2. Except as stated in Section 20.1 and to the extent permitted by law, the Service and all Outputs are provided "as is" and "as available". We do not give any other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the Service will be uninterrupted, error-free, or meet your requirements.
20.3. Nothing in these Terms excludes any warranty or right that cannot be excluded under applicable law.
21. Limitation of liability
21.1. Indirect damages. To the extent permitted by law, neither party will be liable to the other for any indirect, incidental, special or consequential damages, or for loss of profits, revenue, business, goodwill or anticipated savings, arising out of or relating to these Terms or the Service, even if it was advised of the possibility of those damages.
21.2. Cap. To the extent permitted by law, each party's total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of: (a) the total amounts you paid us for the Service in the 12 months before the event giving rise to the liability; and (b) USD 100.
21.3. Exceptions. Sections 21.1 and 21.2 do not limit: (a) liability for fraud, or for damage caused intentionally or by willful misconduct or gross negligence; (b) liability for death or personal injury caused by negligence; (c) your obligations under Section 23 (Indemnity) or your liability for breach of Section 9 (Acceptable use) or for infringing our intellectual property; or (d) any liability that cannot be limited or excluded under applicable law.
21.4. Why these limits. These limits reflect that the Service is free during the Beta, that Outputs are AI simulations, and that you control how you use them. They apply to the extent permitted by law, including the Israeli Standard Contracts Law, 5743-1982, and will be read as limited to the maximum extent the law allows rather than void in their entirety.
22. Export control and sanctions
22.1. You must comply with all export control and sanctions laws that apply to your use of the Service, including those of Israel, the United States, the European Union and the United Kingdom.
22.2. You confirm that you are not (a) located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive sanctions or that Israeli law designates as an enemy state; or (b) listed on, or owned or controlled by a person listed on, any applicable sanctions or restricted-party list. You must not use the Service for any purpose prohibited by those laws, or give access to anyone who meets (a) or (b).
23. Indemnity
23.1. You will defend and indemnify us, and our successors and service providers acting for us, against third-party claims, and related damages, fines, settlements and reasonable legal costs, to the extent they arise from: (a) your Customer Content, including a claim that your submission or capture of a page or data infringed someone's rights or breached law (including privacy law) or a third-party website's terms; (b) your breach of Section 9 (Acceptable use) or Section 22 (Export control and sanctions); or (c) actions taken through your account, API keys or Connected Clients in breach of these Terms, except to the extent caused by our breach of these Terms or our security failure.
23.2. Procedure. We will notify you promptly of any claim (a delay relieves you only to the extent it harms your defense), give you reasonable control of the defense and settlement (but you may not settle in a way that imposes an obligation or admission on us without our consent, not to be unreasonably withheld), and give reasonable cooperation at your expense. We may take part in the defense with our own counsel at our own cost.
24. Changes to these Terms
24.1. We may update these Terms from time to time, for example to reflect changes to the Service, the end of the Beta, the introduction of paid plans, a change of operator under Section 1.1, or changes in law.
24.2. For material changes, we will notify you by email or in the Service at least 14 days before they take effect. Changes needed for legal or security reasons, or that only add new features, may take effect sooner.
24.3. If you do not agree to the updated Terms, you may stop using the Service and close your account before they take effect, and Section 19 will apply. If you keep using the Service after the effective date, you accept the updated Terms.
24.4. Changes will not apply retroactively to disputes that arose before the change took effect.
25. Governing law and jurisdiction
25.1. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Israel, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
25.2. The competent courts in Tel Aviv-Jaffa, Israel, have exclusive jurisdiction over any such dispute, and each party submits to their jurisdiction. Either party may seek urgent injunctive relief to protect its intellectual property or confidential information in any competent court.
26. General
26.1. Entire agreement. These Terms, the Privacy Policy and any additional terms we present for specific features or paid plans are the entire agreement between you and us about the Service, and replace any prior understandings about it. If there is a conflict, specific additional terms that you have accepted prevail over these Terms for that feature or plan.
26.2. Severability. If any part of these Terms is found invalid or unenforceable, it will be enforced to the maximum extent permitted (or, if a court so decides, amended or removed), and the rest of these Terms will remain in effect.
26.3. No waiver. A failure or delay in enforcing any right is not a waiver of that right.
26.4. Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms, in whole or part, to a company we incorporate to operate URA (as described in Section 1.1), or in connection with a merger, acquisition or sale of all or substantially all of the business or assets relating to the Service, and we will notify you. After an assignment to a successor that assumes our obligations, "URA", "we" and "us" refer to that successor.
26.5. Force majeure. Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including war, hostilities, terrorism, emergency regulations, natural disasters, epidemics, failures of utilities, internet or third-party service providers (including hosting and AI model providers), labor disputes and acts of government.
26.6. Notices. We may send you notices by email to the address on your account or by posting them in the Service. You must keep your email address current. Notices to us must be sent by email to support@uralabs.app. Email notices are deemed received on the next business day after sending, unless the sender receives a delivery-failure message.
26.7. Independent parties. The parties are independent contractors. These Terms do not create a partnership, joint venture, employment or agency relationship.
26.8. No third-party beneficiaries. Except for our successors and assigns, no third party has rights under these Terms.
26.9. Language. These Terms are written in English. If we provide a translation, the English version prevails in case of any conflict.
